인도네시아의 법인 설립의 경우 대략 2개월정도의 기간과 소요되는 비용은 대략 US$ 5,000 정도가 소요된다고 보시면 되겠습니다.
The basic requirements for establishing a foreign investment company ("PMA Company") are, among others, as follows:
- at least 2 founders are required;
- minimum equity required is US$ 100,000.
Please note that we need to be provided with the line of business of this PMA Company as under the published regulations and policy of the Investment Coordinating Board (known by its acronym - BKPM), there are certain area of businesses that are closed for foreign investment. We also need to be provided the names of your counter parties, if any, which we need for purposes of our internal conflict of interest check within our firm.
The establishment of the PMA Company will encompass the following: (i) obtaining a principle investment license from the BKPM (the "BKPM Approval") which will lapse automatically after 3 years as of its issuance date if the approved investment plan is not realized; (ii) once the BKPM Approval has been obtained, drawing up a deed of establishment of the PMA Company before a notary public to be approved by the Minister of Justice, registered with the Department of Trade and Industry and announced in the State Gazette of the Republic of Indonesia. Once these two principal steps have been undertaken, the company will need to arrange local licenses such as a tax registration number, certificate of domicile, company registration certificate.
Based on the investment regulations, BKPM will issue the BKPM Approval within 10 days as of complete submission of the application. In practice, this could take 1 to 2 months' time. The problem lies with the term 'complete application'. If there is certain information that is still outstanding, BKPM would not consider the application as 'complete'. Thus the 10 days period would only start when BKPM (in its sole discretion) consider the application as ‘complete’. Thereafter, the drawing up of the deed of establishment can be done as soon as possible or at any time within 3 years after obtaining the BKPM Approval. The approval from the Minister of Justice will take another two weeks to one months' time.
