A. BASIC INFORMATION, REQUIREMENTS
To set up a Czech company with limited liability Czech law requires a notary deed on the Articles of Association - as the legal first step.
At least two founding shareholders must sign the articles of association, the form of which must be a notary deed. (In case of formation by only a single shareholder the declaration on the formation of the company replaces the articles of association).
If a shareholder does not sign personally, his representative must submit a duly notarized and super legalized special power of attorney (pertaining to this single business transaction), which will be attached to the notary deed.
For preparing a draft of the articles of association it is necessary to know a minimum:
1) Company Name and Company Seat
The name of the company may either be derived from its objects of the enterprise or contain the name of the shareholder(s). It must also include the words - affix “s.r.o.” or “spol. s r.o.” = limited liability company.
The company seat must be in the Czech Republic, a legal title (ownership, lease or sublease) for the registered seat is required.

2) Objects of the Enterprise
A company may conduct a type of business and its notation according to the Czech trade-licensing act.

3) Share Capital and Shares
The minimum share capital is 200.000,-CZK (i.e. cca 6.700 € ) The share capital can be raised in cash or in assets other than money (contribution in kind).

4) Shareholders
Any physical or legal entity may be a shareholder. There is no citizenship or residence requirement.
The company may also be formed by one person only.

5) Managing director(s)
The company may have one or more managing directors. If a managing director is a foreign citizen (except EU citizen) a long-term visa in the Czech Republic is required.

B. COSTS
1. The fees of the notary public are based on the Notary’s Fees Act and depend on the registered share capital of the company – cca 5.000 – 10.000,-CZK (i.e. 170 - 340 €)
2. The court fee for the registration of a company is 5.000,-CZK (i.e. cca 170 €)
3. My attorney fees – depends on the required range of my legal service – can be based on an hourly rate – it is 60 – 110 € (depends on a kind and difficulty of legal service – is concluded in advance).
It is also possible to conclude on a lump sum for an incorporation of the company (can be specified as soon as I know the range of my legal service required from your client in this case) – approximately 1.500 – 2.000 €.
4. Additional costs - translation, Visa, trade certificates…. (Can be specified as soon as I know the details).

C. TIME FRAME
After signing the notary deed on the formation of the company, it will take approximately 2-6 weeks until the company is registered in the commercial (companies) register. (Depends on how quickly other requirement are accomplished).
